Integrated Silicon Solution, Inc. (NASD: ISSI)
In In re Integrated Silicon Solution, Inc., NPR serves as Co-Lead Counsel for the derivative plaintiffs in a shareholder derivative case brought for the benefit of nominal defendant ISSI against certain members of its Board of Directors and certain of its executive officers seeking to remedy defendants' breaches of fiduciary duties, unjust enrichment, statutory violations, and other violations of law. We allege that the officers and directors of ISSI colluded with one another to improperly backdate, record, and account for dozens of grants of ISSI stock options to ISSI executives in violation of the company's shareholder-approved stock option plans, which resulted in improper tax deductions based on the backdated stock options.
